Terms and Conditions

This document is published by the operators of World Private Schools (“WPS”, the “Platform,” the “Service,” the “Directory,” or the “Website”), an online directory and comparison service accessible at worldprivateschools.com for private, independent, faith-based, and specialized schools. World Private Schools is owned and operated jointly by Orthoplex Solutions and Noetic Marketer (together with their respective affiliates, successors, assigns, officers, directors, employees, contractors, and agents, referred to in this document as “we,” “us,” “our,” the “Operators,” or the “Company”).

These Terms and Conditions (the “Terms” or “Agreement”) govern your access to and use of the Platform, whether you are a parent, guardian, prospective student, school, educational institution, advertiser, or any other visitor or user (collectively, “you” or “Users”). By accessing, browsing, registering with, submitting information to, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Terms of Use, each of which is incorporated into this Agreement by reference. If you do not agree to these Terms, you must not access or use the Platform.

You represent that you are at least the age of majority in your province or territory of residence, or that you are using the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms. If you are entering into this Agreement on behalf of a school, company, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

• “Content” means all information, data, text, descriptions, rankings, scores, images, logos, reviews, and other materials made available on or through the Platform.
• “School Profile” means a page or listing on the Platform that describes a particular school, including data we have compiled and any information subsequently submitted or verified by the school.
• “Claimed Profile” means a School Profile that an authorized representative of the school has claimed, verified, and taken responsibility for in accordance with Section 5.
• “WPS Score” means the proprietary scoring and evaluation system described in Section 6, used to help Users compare schools.
• “AI Systems” means the artificial intelligence, machine-learning, and automated tools we use to collect, generate, summarize, evaluate, or score information, as described in Section 7.
• “Lead” or “Inquiry” means a request, form submission, or contact request made by a User to a school through the Platform.

World Private Schools is an informational directory and comparison tool that allows parents and guardians to search, filter, and compare schools by criteria such as faith, values, programs, tuition, and other attributes, and to submit inquiries to schools. We are not a school, an educational agent, a recruiter, a broker, a placement service, an accreditation body, a government agency, or a party to any relationship between a User and any school.

We do not endorse, recommend, sponsor, or guarantee any school, program, tuition arrangement, admissions decision, or outcome. Any decision you make about contacting, applying to, enrolling in, paying, or otherwise engaging with a school is made solely at your own discretion and risk. We are not responsible for the acts, omissions, conduct, admissions criteria, safety, quality, or legal compliance of any school listed on the Platform.

The Platform merely facilitates the exchange of information and inquiries. When you submit an inquiry to a school, you authorize us to transmit your information to that school so it may respond to you directly. Any communication, meeting, tour, application, contract, or transaction that follows is strictly between you and the school.

The information we initially publish about schools is gathered from a variety of sources and is provided on an “as is” and “as available” basis without any representation or warranty of any kind. When a School Profile is first created, we may populate it using publicly available information, third-party data, automated collection tools, and AI Systems. We do not independently audit, certify, or guarantee that any of this information is accurate, complete, current, reliable, or free from error.

It is the responsibility of each school to claim its School Profile and to review, correct, complete, and verify all information relating to it. Until and unless a school claims and verifies its profile, all information should be treated as unverified, preliminary, and subject to change. Even after a profile is claimed, we do not warrant the accuracy of information supplied by the school or by any third party.

Information on the Platform — including tuition figures, program offerings, admissions requirements, religious or values-based affiliations, enrollment figures, staff or faculty details, contact information, and the WPS Score — may be incomplete, outdated, or inaccurate. You should independently verify any information that is important to you by contacting the school directly before making any decision. We expressly disclaim all liability arising from your reliance on any information published on the Platform.

You acknowledge and agree that: (a) we are not obligated to verify information before publishing it; (b) we may modify, supplement, or remove information at any time without notice; (c) we are not responsible for information supplied by schools, Users, or third parties; and (d) your use of and reliance on any Content is entirely at your own risk.

Schools may claim their School Profile through the process we make available from time to time. By claiming a profile, an individual represents and warrants that they are duly authorized to act on behalf of the school and to submit, correct, and verify information about it.

Once a profile is claimed, the school is solely responsible for the accuracy, completeness, legality, and ongoing maintenance of all information displayed on its profile, including any information we originally compiled that the school chooses to retain, adopt, or leave unchanged. A school that has been given the opportunity to claim and correct its profile is deemed to have accepted responsibility for the information displayed, whether or not it actually reviews or updates it.

Schools agree to keep their information current and to promptly notify us of any inaccuracy. We reserve the right, but assume no obligation, to verify claims of authority, to request supporting documentation, to reject or reverse a claim, and to remove, suspend, or modify any profile at our sole discretion.

Each school, by claiming or maintaining a profile, agrees to indemnify and hold the Operators harmless from any claim arising out of information it submits, adopts, or fails to correct, including claims of inaccuracy, misrepresentation, infringement, or violation of any law.

The WPS Score is a proprietary rating system we created to help parents and guardians compare schools across a consistent set of factors. The WPS Score is an opinion and a convenience tool. It is not a statement of objective fact, an accreditation, a certification, a guarantee of quality, or a definitive or perfect measure of any school’s worth, safety, performance, or suitability for any particular child.

No scoring system can capture every factor relevant to choosing a school, and reasonable people may weigh factors differently. The WPS Score necessarily involves subjective judgments, methodological choices, data limitations, and assumptions. It may rely on incomplete, outdated, or inaccurate underlying data, and it may change over time as our methodology, data, or the underlying tools evolve.

We are committed to transparency. We publish an explanation of the components that make up the WPS Score and, in general terms, how it is calculated, so that parents and schools can understand what the score does and does not represent. However, we reserve the right to modify the methodology, weighting, components, and presentation of the WPS Score at any time, and we do not guarantee that any particular score, ranking, or ordering will remain constant.

You agree not to treat the WPS Score as the sole basis for any decision and to independently evaluate any school that matters to you. Schools acknowledge that the WPS Score reflects our good-faith methodology and protected opinion, and agree not to hold us liable for the score assigned to them or to any competitor, nor for the relative ranking or ordering of schools. To the fullest extent permitted by law, we disclaim all liability arising from the calculation, publication, interpretation, or reliance upon any WPS Score.

We use AI Systems in two principal ways: (a) to collect, scrape, aggregate, summarize, and organize information about schools from public and third-party sources; and (b) to evaluate certain components of the WPS Score in a consistent, rules-based manner intended to reduce human bias.

You acknowledge and agree that AI Systems are probabilistic tools and that their outputs can vary depending on the model, version, data, and parameters used, and may contain errors, omissions, or so-called “hallucinations.” To promote fairness and comparability, we endeavour to apply the same model and the same methodology across all schools evaluated within a given cycle, so that schools are treated consistently relative to one another. We do not, however, warrant that AI-generated or AI-assisted information is accurate, complete, or current.

Because AI outputs depend on the underlying model and data, results generated at different times, with different model versions, or from different source material may differ. We reserve the right to change the models, tools, providers, and methods we use at any time. Where AI is used to evaluate a component of the WPS Score, that evaluation remains an opinion subject to the limitations described in Section 6.

To the fullest extent permitted by law, we disclaim all liability for any AI-generated or AI-assisted Content, including any inaccuracy, bias, variability, or omission. Schools that wish to correct AI-collected information may do so by claiming and verifying their profile in accordance with Section 5.

Some School Profiles and search filters may reference attributes such as religious affiliation, faith, values, language, culture, gender or single-sex composition, ethnic or cultural character, special-needs programming, or similar characteristics. This information is provided solely to help parents find schools that fit their family’s preferences and a school’s self-described character; it is descriptive, not evaluative, and is not intended to endorse, promote, or facilitate discrimination against any person or group.

Any characterization of a school as faith-based, single-sex, culturally specific, or otherwise oriented reflects either publicly available descriptions, information supplied or verified by the school, or automated collection, and may be incomplete or inaccurate. We do not verify, endorse, or take any position on the admissions policies, religious practices, values, or community composition of any school. References to characteristics such as race, ethnicity, religion, gender, sex, national origin, disability, or similar attributes are included only where relevant to describing a school’s self-identified character or programs and must not be interpreted as a judgment about, comparison of, or commentary on any group of people.

We do not permit the use of the Platform to harass, demean, or unlawfully discriminate against any person or group. You are solely responsible for ensuring that your use of any information about sensitive attributes complies with all applicable human-rights and anti-discrimination laws. To the fullest extent permitted by law, we disclaim all liability arising from the presence, absence, accuracy, or interpretation of any information relating to religion, race, ethnicity, gender, sex, disability, or any other protected characteristic, including any claim that such information is inaccurate, misleading, offensive, or discriminatory.

Schools are responsible for ensuring that the information they claim, submit, or leave displayed about their character, admissions, and community is accurate and compliant with applicable law. Any dispute concerning a school’s policies or practices relating to protected characteristics is between the User and the school, and we are not a party to it.

The Platform provides forms that allow Users to send inquiries, meeting requests, tour requests, and application questions to schools. We do not guarantee, warrant, or represent that schools will not receive spam, unsolicited, duplicate, automated, fraudulent, offensive, or otherwise unwanted messages through these forms. While we implement commercially reasonable, industry-standard anti-spam and anti-abuse measures where feasible — which may include filtering, rate-limiting, CAPTCHA or similar bot-deterrence, validation checks, and monitoring — no such measure is completely effective, and determined bad actors may circumvent them.

You agree to use the contact forms only to send genuine, good-faith inquiries and not to transmit spam, bulk, automated, harassing, deceptive, or unlawful communications. To the fullest extent permitted by law, we disclaim all liability for the content, volume, frequency, accuracy, or consequences of any message sent through the Platform, whether sent by a User, a bot, or any third party, and for any action or inaction a school takes in response to such a message. Schools acknowledge that inquiries are generated by third parties, that we do not pre-screen or verify the identity or intentions of persons submitting forms, and that any communication received is between the User and the school.

We reserve the right, but assume no obligation, to monitor, filter, throttle, block, or remove submissions or Users that we reasonably believe to be abusive, automated, or in violation of these Terms, and to suspend or disable form functionality at any time without notice or liability.

The Platform is a comparative directory. Schools may be listed, described, scored, ranked, and compared with other schools on the basis of publicly available information and information collected through our tools, whether or not the school has claimed its profile. Listing a school and presenting factual and opinion-based comparative information is a lawful activity that supports the informational purpose of the Platform and the public interest in helping families make informed choices.

By claiming, maintaining, or continuing to allow a School Profile to remain on the Platform, a school consents to being listed, described, scored, ranked, and compared as described in these Terms. A school that wishes to correct its information should claim and verify its profile in accordance with Section 5. A school that wishes to request removal, or to raise a concern about how it is presented, may contact us using the details in Section 25, and we will consider such requests reasonably and in good faith, although we are not obligated to remove factual, publicly available, or opinion-based content and may retain records as needed for legal and operational purposes.

We may, now or in the future, allow schools to pay to promote, feature, or enhance their profiles or to obtain preferred placement, badges, or advertising on the Platform (“Promotional Services”). Paid promotion affects placement and visibility only; it does not influence the calculation of the WPS Score, unless we clearly and expressly disclose otherwise. We will identify sponsored or promoted content where required by applicable advertising and consumer-protection law.

Promotional Services are offered subject to any additional order forms, insertion orders, or advertising terms we provide. We reserve the right to accept, reject, or remove any promotional content at our sole discretion and to set, change, or discontinue pricing at any time.

Where we charge fees — for example, for Promotional Services — payments are processed by our third-party payment processor, Stripe, Inc. and its affiliates (“Stripe”). By making a payment, you also agree to Stripe’s applicable terms of service and privacy policy. We do not collect, process, or store your full payment card number, expiry, or security code on our own servers; that information is transmitted directly to and handled by Stripe.

Stripe is a certified PCI-DSS Level 1 service provider (the highest level of certification available in the payments industry) and uses encryption and other security measures to protect payment data in transit and at rest. While we rely on Stripe’s security infrastructure and encryption to safeguard payment information, we do not warrant that any payment system is completely secure, and we are not liable for acts, omissions, breaches, outages, or errors of Stripe or any other payment provider except to the extent such liability cannot be excluded by law.

You agree to provide current, complete, and accurate billing information and to promptly update it as needed. All fees are stated in the currency indicated at checkout and, unless otherwise stated, are exclusive of applicable taxes, which you are responsible for paying. Unless otherwise agreed in writing or required by law, fees are non-refundable once services have commenced. Recurring or subscription fees, if any, will renew automatically until cancelled in accordance with the applicable plan terms; you authorize us and Stripe to charge your payment method on the applicable billing schedule.

You agree not to initiate chargebacks or payment disputes without first contacting us to resolve the matter in good faith. We reserve the right to suspend or terminate Promotional Services or accounts with unpaid, reversed, or disputed charges.

The Platform and all Content we create — including the WPS name and logo, the WPS Score methodology, the compilation and arrangement of data, software, design, text, and graphics — is owned by the Operators or their licensors and is protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, scrape, harvest, republish, distribute, create derivative works from, or commercially exploit any part of the Platform without our prior written consent.

School names, logos, and trademarks displayed on the Platform remain the property of their respective owners and are used for identification and informational purposes. By submitting content to us, a school grants us a worldwide, royalty-free, non-exclusive licence to use, host, reproduce, and display that content in connection with operating and promoting the Platform.

We provide a process for reporting content that a party believes is inaccurate, outdated, unlawful, defamatory, or infringing. If you are a school or other party and you believe information about you or your organization on the Platform is inaccurate or should be corrected, the preferred remedy is to claim and verify the relevant School Profile so the information can be updated at source. If you believe any Content infringes your intellectual-property rights or is otherwise unlawful, you may send a written notice to the contact address in Section 25 identifying the Content, its location (URL), the basis for your complaint, and your contact information.

Upon receiving a valid complaint, we may, at our discretion and without admission of liability, investigate, forward the notice to the relevant party, correct or remove the Content, or decline to act where we reasonably believe the Content is lawful, factual, or protected opinion. We are not obligated to act on any complaint and our decision to act or not act does not constitute an admission or a waiver of any right or defence. Submitting a knowingly false or bad-faith complaint may result in liability for the complainant and termination of access to the Platform.

The Platform, the Content, and the WPS Score are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that: the Platform will be uninterrupted, timely, secure, or error-free; the Content or the WPS Score is accurate, complete, reliable, or current; defects will be corrected; the Platform is free of viruses or harmful components; or that any school will respond to, meet with, admit, or provide any service to you. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

To the fullest extent permitted by applicable law, the Operators and their affiliates, owners, officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, educational opportunity, or other intangible losses, arising out of or relating to your access to or use of (or inability to use) the Platform, the Content, the WPS Score, any AI-generated information, any interaction with a school, or any payment, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless the Operators and their affiliates, owners, officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms or any applicable law; (c) your infringement of any third-party right; (d) for schools, any information you submit, adopt, or fail to correct; and (e) any dispute between you and any school or other User.

The Platform may contain links to third-party websites, schools, or services that we do not control. We are not responsible for the content, policies, or practices of any third party. Accessing third-party sites or services is at your own risk and subject to their terms.

By using the Platform, registering an account, submitting a form, or contacting us, you consent to receive communications from us electronically, including by email and through the Platform, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Where we send commercial electronic messages, we do so in accordance with Canada’s Anti-Spam Legislation (CASL) and applicable law, and you may withdraw your consent to receive marketing messages at any time by using the unsubscribe mechanism provided or by contacting us. Certain non-marketing service and transactional messages are necessary to operate the Platform and may continue after you unsubscribe from marketing.

We aim to make the Platform reasonably accessible and to work toward conformance with recognized accessibility standards over time, consistent with our obligations under applicable law, including the Accessibility for Ontarians with Disabilities Act (AODA) where it applies. We do not, however, warrant that the Platform is or will be fully accessible or free of accessibility barriers at all times. If you encounter an accessibility barrier, please contact us using the details in Section 25 and we will make reasonable efforts to provide the information or assistance you need in an alternative manner.

We may suspend, restrict, or terminate your access to the Platform, remove or modify any Content or profile, or discontinue the Platform in whole or in part, at any time and for any reason, with or without notice, at our sole discretion. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnities, intellectual-property provisions, and governing-law provisions — will survive.

We may update or modify these Terms at any time. When we do, we will revise the “Last Updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to the following paragraph, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you consent to the personal jurisdiction of those courts.

Before commencing any formal proceeding, you agree to first contact us and attempt in good faith to resolve the dispute informally. To the extent permitted by law, any dispute will be resolved on an individual basis, and you waive any right to participate in a class, collective, or representative action. Nothing in this section deprives you of any mandatory consumer-protection rights available to you under the law of your province or territory of residence.

• Entire Agreement. These Terms, together with the Terms of Use and Privacy Policy, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be enforced to the maximum extent permitted.
• No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
• Language. The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que cette entente et tous les documents connexes soient rédigés en anglais.
• Force Majeure. We are not liable for any failure or delay resulting from causes beyond our reasonable control.
• No Professional Advice. The Platform and its Content, including the WPS Score, are provided for general informational purposes only and do not constitute professional, educational, legal, financial, or other advice. You are responsible for your own decisions, including any decision to contact, apply to, pay, or enroll in a school.
• Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and us. Orthoplex Solutions and Noetic Marketer operate the Platform jointly; any claim you may have is against the Operators collectively and not against either owner individually beyond what applicable law requires.
