Terms of Use

This document is published by the operators of World Private Schools (“WPS”, the “Platform,” the “Service,” the “Directory,” or the “Website”), an online directory and comparison service accessible at worldprivateschools.com for private, independent, faith-based, and specialized schools. World Private Schools is owned and operated jointly by Orthoplex Solutions and Noetic Marketer (together with their respective affiliates, successors, assigns, officers, directors, employees, contractors, and agents, referred to in this document as “we,” “us,” “our,” the “Operators,” or the “Company”).

These Terms of Use govern your access to and use of the World Private Schools website, applications, and related online services (collectively, the “Platform”). They work together with our Terms and Conditions and Privacy Policy. Where the Terms and Conditions address the commercial relationship (including the WPS Score, payments, and liability), these Terms of Use focus on how you may access and behave on the Platform. In the event of a conflict specifically concerning acceptable use of the Website, these Terms of Use govern.

By accessing or using the Platform, you agree to these Terms of Use. If you do not agree, do not use the Platform.

You must be at least the age of majority in your province or territory of residence to create an account, or use the Platform under the supervision of a parent or legal guardian. Certain features (such as claiming a School Profile or purchasing Promotional Services) may require registration.

If you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including where we suspect fraud, misuse, or violation of these Terms.

Subject to these Terms of Use, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own lawful, non-commercial purposes — namely, to research, search, filter, compare, and contact schools. Schools and advertisers may use the Platform for the additional purposes we expressly authorize, such as claiming and maintaining a profile or purchasing Promotional Services.

You agree that you will not, and will not permit any third party to:

• Use the Platform for any unlawful, fraudulent, harmful, or abusive purpose, or in violation of any applicable law or regulation;
• Scrape, crawl, harvest, index, data-mine, or use automated means to access, collect, or copy Content or the WPS Score, except with our prior written permission or as permitted by our robots directives;
• Copy, reproduce, republish, resell, sublicense, or otherwise commercially exploit any Content, the compilation of data, or the WPS Score without authorization;
• Reverse engineer, decompile, or attempt to derive the underlying methodology, source code, models, or algorithms of the WPS Score or our AI Systems;
• Submit false, misleading, defamatory, infringing, obscene, harassing, discriminatory, or otherwise objectionable content;
• Claim a School Profile without proper authority, or impersonate any person, school, or entity, or misrepresent your affiliation;
• Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Platform, its servers, or any connected network or system;
• Introduce viruses, malware, or other harmful code, or circumvent any security, authentication, rate-limiting, or access-control measure;
• Use the Platform to send spam or unsolicited communications, or to collect personal information about other Users;
• Use any contact form or inquiry feature for any purpose other than a genuine, good-faith inquiry to a school; or
• Use the Platform in any manner that could damage, disable, overburden, or impair it, or that infringes the rights of, or restricts the use and enjoyment of the Platform by, any third party.

The Platform allows you to filter and compare schools by attributes such as faith, values, programs, tuition, and other characteristics. Filters and search results are provided for convenience only, are based on data that may be incomplete or inaccurate, and do not constitute a recommendation or endorsement of any school. The order in which schools appear may be influenced by relevance, data completeness, the WPS Score, Promotional Services, and other factors. You should independently verify any attribute that is important to you by contacting the school directly.

When you submit a form to request a meeting, tour, application information, or other contact with a school, you consent to our transmitting the information you provide to that school so it can respond to you directly. You are responsible for the accuracy of the information you submit and for ensuring you have the right to submit any information about others (for example, a child). We do not control how a school uses information once it is transmitted; a school’s handling of your information is governed by that school’s own policies. Please review our Privacy Policy for details on how we handle inquiry data.

Anti-spam. We implement commercially reasonable, industry-standard anti-spam and anti-abuse measures where feasible (which may include filtering, rate-limiting, bot-deterrence such as CAPTCHA, and monitoring), but we do not guarantee that schools will not receive spam, automated, duplicate, fraudulent, or otherwise unwanted messages through the forms, and we disclaim liability for the content or consequences of any message submitted through the Platform. You must not use any form to send spam, bulk, automated, harassing, deceptive, or unlawful communications, and we may block, filter, or remove submissions and suspend form functionality at any time.

If the Platform permits you to submit content — such as profile information, corrections, reviews, or other materials (“User Content”) — you retain ownership of your User Content, but you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, and transferable licence to use, host, store, reproduce, modify, adapt, publish, translate, and display that User Content in connection with operating, improving, and promoting the Platform.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third-party right or violate any law. We may, but are not obligated to, review, moderate, edit, or remove User Content at our discretion. We are not responsible or liable for any User Content, and we do not endorse any opinion expressed in it.

All rights, title, and interest in and to the Platform and its Content (excluding User Content and third-party trademarks) are and remain the exclusive property of the Operators and their licensors. The WPS name, logo, and the look and feel of the Platform are protected by intellectual-property laws. Nothing in these Terms of Use grants you any right to use our trademarks without prior written consent. All rights not expressly granted are reserved.

You acknowledge that Content on the Platform — including information we initially compile, information collected using AI Systems, and the WPS Score — is provided for general informational purposes only, may be inaccurate, incomplete, or out of date, and must not be relied upon as the sole basis for any decision. The detailed disclaimers regarding data accuracy, the WPS Score, artificial intelligence, and sensitive attributes are set out in our Terms and Conditions and are incorporated here by reference.

We may modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We do not guarantee that the Platform will be available at all times or free of errors, interruptions, or delays. We may impose limits on certain features or restrict access to parts of the Platform without notice or liability.

We aim to make the Platform reasonably accessible and to work toward conformance with recognized accessibility standards over time, consistent with applicable law such as the Accessibility for Ontarians with Disabilities Act (AODA) where it applies, but we do not warrant that the Platform is free of accessibility barriers. By using the Platform you also consent to receiving communications from us electronically, and agree that electronic notices satisfy any requirement that communications be in writing.

The Platform may display or link to content, websites, or services operated by third parties, including schools. We do not control and are not responsible for third-party content or practices, and their inclusion does not imply endorsement. Your dealings with any third party are solely between you and that third party.

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties and limit our liability as set out in the Terms and Conditions, the disclaimer and limitation-of-liability provisions of which apply equally to these Terms of Use and are incorporated by reference.

You agree to defend, indemnify, and hold harmless the Operators and their affiliates and their respective owners, officers, directors, employees, contractors, and agents from any claim or demand arising out of your use of the Platform, your User Content, or your breach of these Terms of Use, as further described in the Terms and Conditions.

We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, the licences granted to you end, but provisions that by their nature should survive — including intellectual-property, disclaimer, indemnity, and limitation-of-liability provisions — will survive.

These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and are subject to the dispute-resolution and governing-law provisions of the Terms and Conditions.

We may revise these Terms of Use from time to time. The “Last Updated” date reflects the most recent revision. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms of Use.
